The Supervisory Board of AS Utilitas Tallinna Soojus has decided to simplify the structure of the Tallinn district energy companies and merge the subsidiaries AS Utilitas Tallinn and AS Tallinna Soojus with the joint parent company AS Utilitas Tallinna Soojus. The merger agreement was signed on 19 February 2025 and the merger process was completed today, 28 March.
Following the merger, AS Utilitas Tallinna Soojus will now provide district heating and district cooling services in Tallinn and Maardu. The company’s operations and service arrangements will remain unchanged.
Existing contracts, account numbers, contact phone numbers, and email addresses will remain valid for customers and partners. When paying invoices by e-invoice standing order, the payee details will update automatically. For manual payments, please use company’s new name as the payee. In addition, we kindly ask you to pay attention to changed registration code, as this is used for the verification of the mutual transactions in the VAT returns.
AS Utilitas Tallinna Soojus is jointly owned by Utilitas (66.66%) and the City of Tallinn (33.34%). The merger does not impact the shareholders’ agreement of 2023, and the strong partnership in the development of district energy in the capital will continue on the same basis.
This merger is a technical adjustment intended to streamline administrative processes and simplify the company’s internal structure.
